     On June 13, 2006, the Registrant issued the press release attached hereto as Exhibit 99.1 announcing (1) the Company’s intention to purchase up to an additional $2.5 million of Sun Hydraulics stock, to be completed no later than January 15, 2007, on the open market or through privately negotiated transactions; and (2) the declaration of a $0.10 per share cash dividend on its common stock, payable on July 15, 2006, to shareholders of record as of June 30, 2006.
